Terms of Service
The agreement between Asytra Limited and customers using the Asytra platform.
These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, and related services offered by Asytra Limited ("Asytra", "we", "us", or "our"). By creating an account, starting a trial, purchasing a subscription, or otherwise using the service, you agree to these Terms.
If you use the service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. The service
Asytra provides cloud software for manufacturing teams, including:
- Asytra Trace for digital assembly instructions, shop-floor execution, and unit traceability;
- Asytra Quote for CNC quoting, including an optional embeddable website widget; and
- Asytra Measure for dimensional inspection workflows.
Products may be offered separately. Features, limits, and availability depend on your subscription plan and product entitlements. We may add, change, or retire features as the service evolves.
Authentication is provided through auth.asytra.com. Self-serve subscriptions and billing are handled through billing.asytra.com. Product apps are hosted on separate Asytra subdomains (for example trace.asytra.com).
2. Accounts and registration
- You must provide accurate registration information and keep it current.
- Registration requires a company name, account holder details, and a valid email address. Email verification may be required before full access.
- You are responsible for safeguarding credentials and for all activity under your account and company tenant.
- You must promptly notify us of unauthorized access at support@asytra.com.
- We may refuse, suspend, or terminate accounts that violate these Terms or pose security or abuse risk.
3. Subscriptions, trials, and billing
3.1 Plans and pricing
Paid plans, entitlements (such as user seats, storage, and included AI credits), and current prices are described on our pricing pages and in the billing app at checkout. Prices are shown in US dollars unless stated otherwise. Taxes may apply depending on your location and whether tax collection is enabled.
3.2 Free trials
Eligible self-serve plans may include a free trial (14 days for Trace; 7 days for Quote). Trials generally require a valid payment method at signup. Unless you cancel before the trial ends, your subscription converts to a paid plan and you authorize us (through Stripe) to charge the applicable fees.
Each company may use a promotional trial only once per product, as enforced in our licensing system. We may modify or withdraw trial offers at any time.
3.3 Billing and payment
- Subscriptions renew automatically each billing period (monthly or annual) until canceled.
- Payments are processed by Stripe. You authorize us and Stripe to charge your payment method for recurring fees, prorated plan changes, add-ons, metered usage, and one-time purchases (such as AI credit packs).
- Annual billing: the first annual invoice for a new annual subscription may reflect a one-time introductory discount (equivalent to one month free). Renewals are billed at the full annual rate unless otherwise stated at checkout.
- Failed payments may result in grace periods, restricted access, or suspension after notice, as described in the billing app or account emails.
3.4 Plan changes, add-ons, and usage
You may upgrade, downgrade, or change billing intervals through the billing app where self-serve plan changes are supported. Add-ons (such as extra users, DFM analysis, extra widget keys, or widget quote overage) may be billed based on quantities or metered usage synced to your subscription.
3.5 Cancellation
You may cancel a subscription at the end of the current billing period through the billing app. Cancellation stops future renewals but does not automatically delete customer content. Access continues until the end of the paid or trial period unless we suspend access earlier under these Terms.
3.6 Custom and enterprise arrangements
Custom plans, invoiced arrangements, or non-standard entitlements may be governed by a separate written agreement. If there is a conflict, that agreement controls for the covered services.
4. Acceptable use
You agree not to, and not to allow others to:
- use the service in violation of law or third-party rights;
- upload malware or attempt to disrupt, probe, or bypass security controls;
- reverse engineer, scrape, or access the service through unauthorized automated means except through documented APIs and widget integrations we provide;
- resell, sublicense, or provide the service to third parties except as expressly permitted (for example embedding the Quote widget on your own site under your widget subscription);
- use the service to store or process data you do not have the right to use;
- misrepresent analysis, pricing, or quote outputs as guaranteed manufacturing outcomes where disclaimers apply; or
- interfere with other customers' use of the platform.
We may investigate violations and remove content, throttle API use, or suspend access to protect the service.
5. Customer content and data
5.1 Your content
You retain ownership of content you upload or create in the service ("Customer Content"). You grant Asytra a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Content solely to provide, secure, and improve the service and as otherwise permitted by these Terms and our Privacy Policy.
5.2 Your responsibilities
You are responsible for:
- obtaining all rights and consents needed for Customer Content, including personal data of employees, contractors, and end customers;
- configuring access controls, user permissions, and widget origin restrictions appropriately;
- the accuracy of manufacturing, pricing, and compliance decisions you make using the service; and
- notices and privacy obligations you owe to your own users and website visitors (including widget visitors).
5.3 Shared links and widgets
If you enable password-protected sharing, public quote pages, or an embedded widget, you control what is exposed and to whom. You are responsible for link distribution, password hygiene, and the lawfulness of collecting visitor data through your deployment.
5.4 Data processing roles
For Customer Content that includes personal data, you are typically the data controller and Asytra acts as processor, except for account, billing, security, and platform operation data for which Asytra is controller, as described in our Privacy Policy. A data processing agreement is available on request for business customers where required by law.
6. AI-assisted features
Some features use third-party AI models (for example through OpenRouter) to generate or enhance content. AI output may be inaccurate or incomplete. You must review outputs before relying on them for production, safety, quality, or contractual decisions. AI features may consume included or purchased AI credits and are subject to fair-use limits.
7. Quote analysis and manufacturing disclaimers
Important: Asytra Quote provides automated analysis, routing suggestions, time estimates, and price calculations based on geometry recognition and configurable shop rules. Outputs are indicative unless you explicitly configure and represent them otherwise.
The service does not replace professional engineering judgment, DFM review, machine programming, or contractual quoting obligations. You are solely responsible for verifying manufacturability, tolerances, materials, tooling, and final prices before accepting work or issuing customer quotes.
8. Intellectual property
Asytra owns the service, software, documentation, branding, and all related intellectual property rights, except for Customer Content and third-party materials. No rights are granted except as expressly stated in these Terms. You may not use Asytra trademarks without prior written permission.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes of the relationship, except as required by law. Customer Content is treated as your confidential information subject to the license in Section 5.
10. Third-party services
The service integrates with third-party providers (including Stripe, email delivery, captcha, hosting, and AI providers). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
11. Warranties and disclaimers
To the maximum extent permitted by applicable law, the service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
12. Limitation of liability
To the maximum extent permitted by applicable law:
- neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, even if advised of the possibility; and
- Asytra's total liability arising out of or related to the service in any 12-month period will not exceed the greater of (a) the fees you paid to Asytra for the service in that period or (b) US$100.
These limits do not apply to liability that cannot be excluded under applicable law.
13. Indemnification
You will defend, indemnify, and hold harmless Asytra and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from Customer Content, your use of the service, your widget or shared-link deployments, or your violation of these Terms or applicable law, except to the extent caused by Asytra's intentional misconduct or negligence.
14. Suspension and termination
We may suspend or terminate access immediately if you materially breach these Terms, fail to pay amounts due after applicable grace periods, or if continued provision would create security or legal risk. You may stop using the service at any time.
Upon termination, your right to access the service ends. Sections that by nature should survive (including payment obligations accrued, intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
15. Changes to the service or Terms
We may modify the service or these Terms. We will post updated Terms on this page and update the "Last updated" date. Material changes to paid subscriptions will take effect no earlier than the start of your next renewal period unless required sooner by law or for security reasons, or unless you agree otherwise at checkout.
16. Governing law and disputes
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles. The courts of Hong Kong will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service, except where mandatory consumer protection law in your jurisdiction provides otherwise.
17. General
- Entire agreement: These Terms, together with applicable order flows, plan descriptions, and our Privacy Policy, form the entire agreement regarding the service unless a separate written agreement says otherwise.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
